Delaware’s Court of Chancery found that the claims lodged in a minority stockholder suit were unsupportable or derivative and ineligible for direct investor recoveries. The court also “found that, in addition to the investors’ failure to make a pre-suit demand supporting calls for board action on derivative claims, the complaint failed to support a direct, statutory claim challenging the board’s authority to approve a sale, lease or exchange of assets.”
